End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and EZ IT Solutions ("Company," "we," "us," or "our") governing your access to and use of the ezCyber Portal application ("Software" or "Portal").
By accessing or using the Portal, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Portal.
1. License Grant
Subject to the terms of this Agreement, EZ IT Solutions grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for your internal business operations as a client or authorized user of EZ IT Solutions managed services.
2. Restrictions
You agree not to:
- Copy, modify, distribute, sell, lease, or sublicense the Software or any part thereof.
- Reverse engineer, decompile, or disassemble the Software.
- Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to the Software, its servers, or any systems connected to the Software.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
- Use the Software to build a competing product or service.
3. Data Handling
The Portal processes and stores data on your behalf, including but not limited to business contact information, service records, device inventories, and documentation. All data is stored in encrypted databases and transmitted over encrypted connections. We handle your data in accordance with our Privacy Policy.
4. Third-Party Integration Data Usage
4.1 QuickBooks
When you connect your QuickBooks account to the Portal, we access financial data including invoices, customers, payments, and account balances through the Intuit QuickBooks API. This data is used exclusively for the following purposes:
- Synchronizing invoice and billing data for internal MSP operations.
- Matching QuickBooks customers with service records for accurate billing.
- Generating financial reports and dashboards for authorized administrators.
- Automating invoice creation and payment tracking.
QuickBooks data is never sold, shared with unauthorized third parties, or used for purposes unrelated to the managed services provided by EZ IT Solutions. You may disconnect your QuickBooks account at any time through the Portal settings, which will cease all data synchronization and remove stored QuickBooks tokens.
4.2 Google Workspace
When a domain administrator grants consent, we access user directory and license data through the Google Admin SDK and Enterprise License Manager API. This data is used exclusively for:
- Synchronizing user accounts for portal access and ticket management.
- Tracking license assignments and subscription usage.
- Verifying authorized users for email-based ticket creation.
Google Workspace data is never sold or shared with unauthorized third parties. You may revoke access at any time through the Portal settings or your Google Admin console, which will cease all data synchronization and remove stored OAuth tokens.
4.3 Microsoft 365
With tenant administrator consent, we access user, group, device, and license data through the Microsoft Graph API. This data is used for:
- Synchronizing user accounts and group memberships for portal access control.
- Tracking license assignments and subscription usage.
- Device compliance monitoring and inventory management.
You may revoke access at any time through the Portal settings or your Azure AD admin center.
4.4 NinjaOne
Through integration with NinjaOne, we access device inventory, monitoring, and management data. This data is used for:
- Displaying device inventories and health status in the Portal.
- Correlating devices with client organizations for service management.
- Monitoring device compliance and patch status.
5. Intellectual Property
The Software, including all code, design, content, features, and documentation, is the exclusive property of EZ IT Solutions and is protected by applicable intellectual property laws. This Agreement does not grant you any ownership rights in the Software.
6. Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify EZ IT Solutions immediately of any unauthorized use of your account.
7. Termination
This Agreement is effective until terminated. EZ IT Solutions may terminate or suspend your access to the Portal at any time, with or without cause, and with or without notice. Upon termination, your right to use the Portal will immediately cease. Sections 2, 5, 8, 9, and 10 shall survive termination.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EZ IT SOLUTIONS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EZ IT SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF EZ IT SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL EZ IT SOLUTIONS' TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO EZ IT SOLUTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Texas.
11. Changes to This Agreement
EZ IT Solutions reserves the right to modify this Agreement at any time. Changes will be effective upon posting the updated Agreement to the Portal. Your continued use of the Portal after any such changes constitutes your acceptance of the new terms.
